TERMS OF SERVICE AGREEMENT

PLEASE READ THIS TERMS OF SERVICE AGREEMENT CAREFULLY. BY USING THIS WEBSITE OR THE EASYBOOKSTR APPLICATION, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT.

This Terms of Service Agreement (the "Agreement") governs your use of easybookstr.com and the EasyBookSTR booking application (collectively, the "Website" and "Application"), offered by The DeGeorge Team, Inc., doing business as 5-Star Host'r Coach ("Company"). EasyBookSTR is an application offered by 5-Star Host'r Coach. This Agreement includes, and incorporates by reference, the policies and guidelines referenced below. The Company reserves the right to change or revise the terms and conditions of this Agreement at any time by posting any changes or a revised Agreement on this Website. We will indicate the date of the most recent revision at the top of this Agreement. Your continued use of the Website or Application following the posting of any changes constitutes your acceptance of those changes.

I. PRODUCTS AND SERVICES

Terms of Offer. EasyBookSTR offers a direct booking application for short-term rental hosts (the "Application"). By registering for or using the Application, you agree to the terms set forth in this Agreement.

Subscription Plans and Free Trials. EasyBookSTR offers three subscription tiers:

DiBSTR Insider — Available exclusively to students who have purchased the DiBSTR Booking Revolution Course. Includes a 90-day free trial, after which the subscription is $10 per month for up to 10 properties. This plan provides an embeddable booking widget for use with Squarespace websites.

Smart Host — Includes a 30-day free trial, after which the subscription is $25 per month for up to 7 properties. This plan provides an embeddable booking widget compatible with most website platforms including WordPress, Weebly, and others.

Standalone Pro — Includes a 7-day free trial, after which the subscription is $50 per month for up to 5 properties. This plan provides a dedicated booking web page per property and does not require an existing website.

Additional Properties. At any subscription tier, additional properties may be added in increments of 5 for $50 per month. No free trial applies to additional property add-ons.

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.

Customer Communications. By registering for EasyBookSTR, you agree to receive transactional emails related to your account, as well as occasional marketing communications from EasyBookSTR and 5-Star Host'r Coach. You may opt out of marketing communications at any time.

Opt Out Procedure. We provide the following ways to opt out of marketing communications:

Proprietary Rights. The Company has proprietary rights and trade secrets in the Application and all related content. You may not copy, reproduce, resell, or redistribute any part of the Application or its content. The Company also holds rights to all trademarks, trade dress, and specific layouts of this website, including calls to action, text placement, images, and other content.

Payments. All payments are processed through Stripe. By connecting your Stripe account to EasyBookSTR, you agree to Stripe's Terms of Service. The Company does not store your payment credentials or your guests' payment information. You are responsible for any applicable taxes related to transactions processed through your account.

II. WEBSITE AND APPLICATION USE

Content and Intellectual Property. In addition to providing the Application, this Website offers information and marketing materials. To the extent that the Company creates content on this Website, such content is protected by intellectual property laws of the United States, foreign nations, and international bodies. Unauthorized use of the material may violate copyright, trademark, and other laws. Any links to third-party websites are provided solely as a convenience. The Company does not endorse the contents of any third-party websites and is not responsible for any damage that may result from your access to or reliance on them.

Acceptable Use. You agree that you will not use the Website or Application for illegal purposes. You will abide by all applicable local, state, national, and international laws and regulations, including laws regarding intellectual property. You will not interfere with or disrupt the use and enjoyment of the Website or Application by other users, engage in transmission of spam or unsolicited communications, or defame, harass, or abuse other users.

License. By using this Website and Application, you are granted a limited, non-exclusive, non-transferable right to use the content and materials in connection with your normal, noncommercial use. You may not copy, reproduce, transmit, distribute, or create derivative works of such content without express written authorization from the Company.

User Content. You are solely responsible for any content you post or transmit through the Application. The Company is not liable for any damage or harm resulting from user-generated content. The Company reserves the right to remove any content it deems objectionable, in its sole discretion.

III. DISCLAIMER OF WARRANTIES

YOUR USE OF THIS WEBSITE AND APPLICATION IS AT YOUR SOLE RISK. THE WEBSITE AND APPLICATION ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WITH RESPECT TO THE APPLICATION OR WEBSITE CONTENT.

THE COMPANY MAKES NO WARRANTY THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

IV. LIMITATION OF LIABILITY

THE COMPANY'S ENTIRE LIABILITY, AND YOUR EXCLUSIVE REMEDY, WITH RESPECT TO THE WEBSITE, APPLICATION, AND ANY BREACH OF THIS AGREEMENT IS SOLELY LIMITED TO THE AMOUNT YOU PAID TO THE COMPANY IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE COMPANY WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THIS AGREEMENT OR THE APPLICATION, INCLUDING LIABILITIES RESULTING FROM THE USE OR INABILITY TO USE THE APPLICATION, LOSS OF DATA, LOSS OF PROFITS, OR ANY TRANSACTIONS ENTERED INTO THROUGH THE APPLICATION.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

V. INDEMNIFICATION

You agree to release, indemnify, defend, and hold harmless The DeGeorge Team, Inc., its contractors, agents, employees, officers, directors, shareholders, affiliates, and assigns from all liabilities, claims, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Website or Application, your violation of this Agreement, or your violation of any rights of a third party.

VI. PRIVACY

The Company is committed to protecting your privacy. Please refer to the EasyBookSTR Privacy Policy, incorporated by reference herein, which is posted at easybookstr.com/privacy.

VII. DATA AND PAYMENTS

EasyBookSTR does not store guest payment data. All payment processing is handled by Stripe. Your booking data belongs to you. You may request deletion of your account and associated data at any time by visiting easybookstr.com/delete-account or emailing [email protected].

VIII. AGREEMENT TO BE BOUND

By using this Website or Application, you acknowledge that you have read and agree to be bound by this Agreement and all terms and conditions on this Website.

IX. GENERAL

Force Majeure. The Company will not be deemed in default or held responsible for any cessation, interruption, or delay in performance of its obligations due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott.

Cessation of Operation. The Company may at any time, in its sole discretion and without advance notice, cease operation of the Website or Application.

Governing Law. This Agreement shall be governed by the laws of the State of Colorado, without regard to its conflict of law provisions.
